TERMS OF SALE — VERSE RESEARCH LLC

These Terms govern all purchases from Verse Research LLC (via peptideverse.com, “Verse Research,” “we,” “us,” or “our”) through the Site.
1. Eligibility; Research Use Only; No Medical Claims
1.1 Age & Qualification: You represent that you are 21 years of age or older and are a qualified individual acting for a laboratory, research group, or lawful research purpose.
1.2 RUO Scope: All products are Research Use Only (RUO) chemical reagents. Products are not drugs, foods, dietary supplements, cosmetics, medical devices, or veterinary products. They are not intended for human or animal use, nor for diagnostic, therapeutic, or household applications. You will not use, or permit others to use, any product in or on humans or animals.
1.3 No Medical Claims: Information on the Site is technical and for research planning only. We do not provide medical advice, dosage, administration guidance, treatment instructions, or outcome claims. User reviews implying human/clinical use may be removed.
2. Orders; Acceptance; Availability; Territory
2.1 Order Review: All orders are subject to compliance review and acceptance at our sole discretion. We may refuse, cancel, or limit any order and will refund any amount charged for declined orders.
2.2 U.S.-Only: Sales and shipments are limited to the United States.
2.3 Product Specifications: We may modify specifications, packaging, or lot availability without notice, while maintaining stated quality standards.
3. Pricing; Taxes; Payment
3.1 Prices: Prices are listed in U.S. dollars and are subject to change without notice.
3.2 Taxes: You are responsible for any applicable taxes, duties, and fees. Where required, taxes will be collected at checkout.
3.3 Payment Authorization: Payments may be processed through one or more third-party providers (including eDebitDirect or other approved processors). By submitting payment information, you authorize us and our payment providers to charge the total order amount, including taxes, shipping, and fees.
4. Shipping; Risk of Loss; Delivery Inspection
4.1 Carriers & Methods: Orders ship via FedEx 2-Day Express unless otherwise stated at checkout. We ship lyophilized (freeze-dried) powders; no cold-pack service is provided.
4.2 Third-Party Fulfillment: Orders may be fulfilled by authorized third-party logistics providers. Title and risk of loss pass to you upon tender to the carrier.
4.3 Delivery Inspection & Notice of Issues: Inspect shipments upon delivery and notify us in writing of any shortage, damage, defect, or mis-shipment within 7 days. Include photos and the order number. Failure to provide timely notice constitutes acceptance.
5. Returns; Final Sale; Exclusive Remedy
5.1 All Sales Final: Due to the nature of research reagents, all sales are final. No returns are accepted.
5.2 Defects/Shortages: Your exclusive remedy for a documented defect or fulfillment error reported within 7 days is, at our option, replacement of the affected item or refund of the purchase price for that item.
6. Use Restrictions; Safety; Export/Import
6.1 Prohibited Uses: Products may not be used:
In or on humans or animals
For diagnosis, treatment, mitigation, or prevention of disease
In clinical trials
In manufacturing drugs, biologics, medical devices, cosmetics, or foods
For household use
In any other regulated medical/clinical application
6.2 Safety & SDS: Review the applicable Safety Data Sheet (SDS) prior to handling, use appropriate PPE, and follow safe storage, handling, transport, and disposal practices in accordance with laws and institutional policies.
6.3 Export/Import: You are responsible for compliance with all export, import, and customs laws, including any required permits or registrations.
7. Warranties; Disclaimers
7.1 Limited Warranty: We warrant that products conform to our specifications at the time of shipment.
7.2 Exclusive Remedy: Your exclusive remedy for breach of the foregoing warranty is replacement or refund as stated in Section 5.2.
7.3 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, PRODUCTS AND THE SITE ARE PROVIDED “AS IS” WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF DEALING OR USAGE.
8. Indemnification
You agree to indemnify, defend, and hold harmless Verse Research LLC and its owners, officers, and employees from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys’ fees) arising from or related to your purchase, possession, handling, storage, use, transport, or disposal of products, except to the extent caused solely by our willful misconduct.
9. Chargebacks; Dispute Resolution
9.1 Contact Us First: Contact support before initiating a chargeback so we can investigate and resolve any issues.
9.2 Improper Chargebacks: Chargebacks used to circumvent these Terms (including the final-sale policy) are improper. We reserve the right to dispute such chargebacks, provide evidence of acceptance/assent (including age/RUO confirmations, IP, and timestamp logs), and suspend or close accounts that initiate improper chargebacks.
9.3 Offsets & Collections: We may collect any amounts owed (including shipping or collection costs) as permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Verse Research LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits/revenues, even if advised of the possibility. Our total liability for any claim will not exceed the amount you paid for the product(s) giving rise to the claim.
11. Force Majeure
We are not liable for failure or delay due to events beyond our reasonable control, including acts of God, weather, labor disputes, shortages, transportation failures, acts of government, or internet/telecom disruptions.
12. Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflicts rules. You agree to exclusive jurisdiction and venue in the state and federal courts located in Sacramento County, California.
13. Changes to Terms
We may update these Terms at any time by posting the revised version on the Site with a new effective date. Your continued purchases constitute acceptance of the revised Terms.
